Terms of Service

1. Service Description

Healthtech Capital LLC ("we", "us"), doing business as GPU-Bridge, provides a GPU compute API service ("Service") that allows users and autonomous AI agents to run GPU workloads on demand. The Service routes jobs to third-party GPU infrastructure providers and returns results to the caller.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction. By using the Service, you represent that you have the legal authority to enter into this agreement. Autonomous AI agents may use the Service via the x402 payment protocol without human registration.

3. Accounts and API Keys

Stripe credit users must register with a valid email address. You are responsible for keeping your API key confidential. We are not responsible for unauthorized use of your API key. Do not share your API key publicly.

4. Payment Terms

Stripe Credits: Prepaid service credits purchased via credit card through Stripe. Credits are non-refundable. Credits do not expire. Minimum top-up: $10.00. Bonus credits may apply on larger packages.
x402 Payments: Per-request payments in USDC on Base L2 via the x402 protocol. Payments are final and settled on-chain.

All prices are denominated in USD. We reserve the right to adjust pricing with 30 days notice.

5. Acceptable Use

You may not use the Service to:

Generate illegal content, including CSAM
Engage in fraud, phishing, or social engineering
Attack, disrupt, or attempt to gain unauthorized access to our systems
Mine cryptocurrency
Violate applicable laws or regulations
Circumvent OFAC sanctions or other compliance measures

6. OFAC Compliance

All inbound wallet addresses using the x402 payment channel are screened against OFAC sanctions lists via the Chainalysis Sanctions Oracle. Blocked addresses will be denied service.

7. Service Availability

We aim for high availability but do not guarantee uninterrupted service. GPU resources are provisioned on demand from third-party infrastructure providers. Cold starts and temporary unavailability are possible.

8. Limitation of Liability

Healthtech Capital LLC is not liable for indirect, incidental, or consequential damages. Our total liability is limited to the amount you paid for the specific job that caused the claim. GPU compute results are provided "as-is".

9. Data

We store your email and API key for account management. Job inputs and outputs are processed transiently and not stored beyond the job lifecycle. We do not sell your data. See our Privacy Policy for details.

10. Termination

We may suspend or terminate accounts that violate these terms. You may stop using the Service at any time. Unused credits are non-refundable upon termination.

11. Governing Law

These terms are governed by the laws of the State of Wyoming, United States.
